The Ministry of Labour has recently announced its intention to introduce the retirement pension schemes, and published a draft of the Employee Retirement Benefits Protection Act. This article investigates the desirable governance structure of the newly introduced retirement pensions schemes. Particularly, the governance structures in two kinds of retirement pension schemes are dealt with: one is the governance structure of the defined benefits schemes, and the other is the governance structure of the defined contributions schemes. This article also briefly touches on the governance structure in the British Occupational Pension Schemes and the American corporate pension plans.
In this article, conflict of interests between the beneficial owners and pension operators are shown, and suggested that in order to correct such conflict of interest situations several measures are necessary. Particularly, three things are recommended in order to accomplish the desirable governance structure of the intended retirement pension schemes: (ⅰ) the third party monitoring system is to be introduced by appointing independent trustees, (ⅱ) the role of actuaries and auditors should be emphasized, and (ⅲ) prudential regulation over the operators of the defined benefits schemes should be introduced.
