This study identifies the structural legal barriers to a direct, transaction-based transferable development rights (TDR) system in Korea—namely, potential conflict with the numerus clausus principle (Article 185 of the Civil Act) and the absence of a public registration mechanism—and proposes, as a realistic alternative, designing a Korean-style TDR system that would link the district combination method under the Urban Development Act with the land replotting scheme. Unlike conventional direct-transaction TDR, which treats unused floor area ratio (FAR) as an independent private right (development right) severable from land ownership, the proposed method involves adjusting FAR through a public-law planning decision to designate a physically separated conservation zone (sending area) and development zone (receiving area) as a single urban development district, combined with the land replotting procedure. Through a literature review and analysis of statutes and case law, this study examines the legal limits of direct-transaction TDR. It comparatively analyzes the district-combination and combined-building systems under the Urban Development Act, the Act on the Improvement of Urban Areas and Residential Environments, and the Building Act, proposing legislative measures for (1) amending the Urban Development Act; (2) reforming public disclosure-related statutes; (3) reforming tax-related statutes; and (4) improving the land replotting provisions and administrative guidelines under the Urban Development Act. The analysis suggests that combining the land replotting scheme allows unused FAR to be rationally valued and settled as land or cash, thereby mitigating concerns over property rights infringement and compensation disputes within the existing legal framework. However, the study acknowledges that the institutional effects identified here are the product of theoretical and doctrinal analysis rather than empirical verification through actual project application and that further research is required to draft specific statutory provisions and design incentive structures for stakeholders.
