Online contracts are becoming more common and disputes on online contracts are increasing rapidly. However, it is difficult that theory for traditional contracts can apply to online contracts. The reason is that online contracts have certain characteristics which are much different from the traditional goods contracts. The contracts for digital contents transactions are mostly contracts of adhesion. Also, an object of online contracts is based on digital contents. Since there is no border in cyberspace, online contracts are inherently transnational.
Therefore, this article purposes to review characteristics of online contracts and legal issues therein, focusing at online contents contracts. First of all, for understanding of online contracts, definition, types and characteristics of online contracts will be reviewed (Ⅱ). Then, characteristics in formation of online contracts will be discussed (Ⅲ) and basic characteristics in rights and duties of the parties in online contracts will be reviewed (Ⅳ). Furthermore this article will discuss characteristics in international online contracts (Ⅴ).
Through this, this article will discuss with the needs for international norms therefor, jurisdiction for international online contracts disputes and governing law thereof. I expect this article will become a beginning to establish principles for international online contracts.
