【Abstract】 A Study on the Applicability of the Lex Mercatoria to International Commercial Contracts Chang-Sop Shin The search for a third legal order originates from many legal scholars' acknowledgement that neither domestic law nor international law is appropriate or suitable for dealing with international commercial disputes when parties from different countries are involved. They believe that a national legal system may not be sensitive to the expectations of a disputing party from a different national legal background, and international law may not be adequate to deal with cross-border commercial transactions. Thus, a third legal order, known as the lex mercatoria, which is neither national nor international law but a mixture with the characteristics of both, is an attractive option. Although the lex mercatoria has existed in one form or another since the beginning of human civilization, its significance has not been properly appreciated until recently when some scholars started advocating its suitability for application to modern international commercial relations. There is now vast literature on the subject, as it has attracted a great deal of attention from legal scholars of different countries. This article concentrates on the lex mercatoria as a body of substantive law applicable to international commercial contracts. This article mainly examines the lex mercatoria in the context of international commercial arbitrations. This article begins by analyzing the different views relating to the concept of the lex mercatoria. Then it examines certain characteristics of the lex mercatoria. Then it tackles the question of the lex mercatoria as a legal system in the context of recent developments. Finally, this article reaches several conclusions in light of the above discussions.
