「The Council Regulation (EC) No 1346/2000 of 29 May 2000 on Insolvency Proceedings」(hereinafter ‘the previous EU Insolvency Regulation’) which controls cross-border insolvency proceedings embraced a wide range of problems. Firstly, the scope of application restricted to single debtor entities and there were defects in dealing with the multinational corporate cases. Secondly, debtors have shifted the center of main interests(COMI) to obtain a more favourable legal position and interests(forum shopping issues). Thirdly, in the event of the conflict between insolvency proceedings and arbitration proceedings, what applicable law would be governed.
「The Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on Insolvency Proceedings(recast)」(hereinafter ‘the recast EU Insolvency Regulation’) reforms the previous EU Insolvency Regulation to enhance the effective administration of cross-border insolvency proceedings.
There are some of the key features of the recast EU Insolvency Regulation. Firstly, the extension of its application to pre-insolvency proceedings which promote the rescue of economically viable but distressed business and give a second chance to debtors. Secondly, preventing the problem of abusive COMI relocation(forum shopping issues). Thirdly, the introduction of new procedures with the aim of facilitating cross-border coordination and cooperation between insolvency practitioners and the courts in different Member States relating to members of the same group of companies. Finally, the conflicts of law problems that occur when the insolvency proceedings are in one country and the seat of the arbitration is in another.
In particular, with regard to the conflicts of law, the recast EU Insolvency Regulation prescribes what applicable law will govern the insolvency proceedings. The principle is that the insolvency laws of the opening court will apply to the insolvency proceedings(lex fori concursus). However, In relation to the impact of insolvency of a party on pending arbitration proceedings, the recent decision gives the law of the seat of the arbitration a more prominent role and the recast EU Insolvency Regulation also stipulates that the effects of insolvency proceedings on pending arbitral proceedings concerning an asset or a right which forms part of a debtor’s insolvency estate shall be governed by the law of the Member State in which the arbitral tribunal has its seat.
